User Representations and Warranties
You hereby represent and warrant to ALANTRA that (i) you have all requisite rights and authority to agree to these Terms and Conditions of Use and to grant all applicable rights herein; (ii) the performance of these Terms and Conditions of Use shall not violate, conflict with, or result in a default under any other agreement, including confidentiality agreements between you and third parties, and (iii) any information submitted to ALANTRA by you is true, accurate and correct and (a) shall not infringe or misappropriate any third party's copyright, patent, trademark, trade secret or other intellectual property right or proprietary rights of any kind; and (b) shall not violate any law, statute, ordinance or regulation (including without limitation those governing export control, unfair competition, anti-discrimination or false advertising).
Reservation of Rights
ALANTRA and Third Party Providers retain all the intellectual property rights in and to all aspects of the services made available at the Site, the Contents and the Site, including without limitation any related patent rights, copyrights, trade secrets, trade names, service marks, associated goodwill, moral rights, and any other similar rights or intangible assets recognized under any laws or international conventions.
Indemnification
You, agree to indemnify, defend and hold harmless ALANTRA, and its officers, directors, employees, shareholders, members and advisors, from all damages, liabilities and expenses (and all legal costs including attorneys’ fees, court costs, expenses and settlements) arising out of, connected with or resulting in any way from your violation of these Terms and Conditions of Use, any other agreement you have entered with ALANTRA, the ALANTRA Privacy Policy, the E-Settlement Event Rules, or any applicable law.
Force Majeure
ALANTRA shall not be liable for any delay or failure to meet its obligations hereunder due to natural circumstances beyond its reasonable control, including, but not limited to war, riots, insurrection, civil commotion, fire, flood, storm or inability to obtain necessary labor, materials or manufacturing facilities as a direct result of such natural disasters.
Order of Preference
To the extent that any of the terms or conditions contained in these Terms and Conditions of Use conflict with those in any separate agreement between you and ALANTRA, the terms and conditions of such other agreement shall apply.
